Merchant Terms of Service
Additional terms specific to merchants using the CURBZ platform to request deliveries.
Last revised: October 3, 2026
This Merchant Agreement ("Agreement") is a binding contract between you ("Merchant," "you," or "your") and CURBZ ("CURBZ," "we," "us," or "our") governing your access to and use of the CURBZ platform to request, manage, and fulfill local deliveries for your business. By creating a merchant account, submitting a merchant signup application, or otherwise using the CURBZ merchant dashboard or website, you agree: (a) to engage CURBZ to provide the services described below; (b) to comply with this Agreement; and (c) that you have read, understand, and agree to the general Terms of Service and Privacy Policy, each of which is incorporated into this Agreement by reference. If this Agreement conflicts with the general Terms of Service or Privacy Policy, this Agreement governs with respect to that conflict.
1. The CURBZ platform
CURBZ operates a web and mobile marketplace that connects merchants with independent drivers who provide same-day local delivery and courier services on the merchant's behalf (each a "Delivery" or "Job"). CURBZ makes commercially reasonable efforts to provide the following to Merchants:
- Delivery matching. CURBZ will match your delivery requests with available drivers in your operating area based on vehicle class, route, and cargo.
- Order tracking. CURBZ provides a tracker link so you and your customers can follow a Delivery from pickup to drop-off in real time.
- Payment processing. CURBZ provides the billing infrastructure (including our Stripe-powered payment partner) used to collect and process delivery fees.
- Customer support. CURBZ will field questions, complaints, and refund requests related to a Delivery and will communicate with you as needed to resolve them.
- Account administration. CURBZ provides the technology, dashboards, and notifications needed for you to submit, manage, and review your delivery requests.
CURBZ reserves the right to suspend or deactivate your merchant account for violating this Agreement, our Community Guidelines, or our Anti-Discrimination Policy.
2. What CURBZ does not provide
CURBZ's services relate only to the matching, billing, tracking, and support functions described above. CURBZ does not manufacture, stock, package, or sell any goods on your behalf, and is not a party to the underlying sale between you and your customer. Independent drivers, not CURBZ, perform the physical pickup, transport, and delivery of your goods. CURBZ is not responsible for the condition, quality, or legality of any item you submit for delivery.
3. Merchant eligibility & account information
To create and maintain a merchant account you must provide CURBZ with accurate business information, including your business name, contact name, phone number, email address, and business street address, city, state, and zip code. You must immediately notify CURBZ of any change to this information. You represent that:
- You are at least 18 years of age and legally authorized to operate the business you are registering;
- The business information you provide is accurate, current, and kept up to date;
- You are free to enter into this Agreement and are not restricted, contractually or otherwise, from doing so; and
- Any products you submit for delivery comply with all applicable local, state, and federal law.
4. Submitting delivery requests
When you submit a delivery request, you agree to accurately describe the item(s) being delivered, provide a valid pickup location, and ensure the item is packaged appropriately for transport. You are responsible for having your order ready for pickup at the scheduled time. CURBZ and its drivers may decline to transport any item that violates our Hazmat Policy or that a driver reasonably believes is unsafe, illegal, or improperly packaged.
5. Fees & payment
Delivery fees. Each delivery request is charged a fee calculated by the CURBZ platform based on distance, vehicle class, and other factors shown to you before you confirm the request (the "Delivery Fee"). By submitting a request you authorize CURBZ to charge your connected payment method for the Delivery Fee and any applicable tips.
Billing disputes. If you believe you were charged in error, contact CURBZ support within a reasonable time of the charge. CURBZ will review the delivery record (including driver status updates and tracking history) to resolve the dispute.
Refunds & cancellations. Delivery requests may be cancelled before a driver is assigned at no charge. Cancellations after a driver has been assigned, or after pickup, may be subject to a cancellation fee. Refunds for Deliveries that were not completed as described are reviewed on a case-by-case basis.
6. Independent contractor relationship with drivers
Drivers who complete your Deliveries are independent contractors engaged through the CURBZ platform, not employees or agents of CURBZ or of your business. CURBZ does not guarantee the availability of any specific driver and does not control how a driver performs a Delivery, subject to CURBZ's safety and conduct standards. You agree not to attempt to directly solicit, employ, or contract with a driver you were matched with to bypass the CURBZ platform for future deliveries.
7. Prohibited & restricted items
You may not submit for delivery any item prohibited by our Hazmat Policy, or any counterfeit, stolen, or illegal goods. CURBZ reserves the right to refuse, cancel, or hold any delivery request at its discretion if it reasonably believes the request violates this section.
8. Representations, warranties & indemnity
You represent and warrant that you have the legal right to sell and ship each item submitted for delivery, and that you will not discriminate against or harass any driver, customer, or CURBZ representative on any basis prohibited by our Anti-Discrimination Policy or applicable law. You agree to indemnify and hold CURBZ harmless from any claim, loss, or damage arising from the items you submit for delivery, your breach of this Agreement, or your negligent, reckless, or intentional misconduct.
9. Confidentiality
In the course of using the CURBZ platform you may receive information about CURBZ's business, technology, or pricing that is not publicly available ("Confidential Information"). You agree to keep Confidential Information private and use it only to operate your CURBZ merchant account. This obligation does not apply to information that is or becomes publicly available through no fault of yours, or that you are required to disclose under a valid legal order (in which case you will give CURBZ prompt notice before disclosing).
10. Limitation of liability
To the fullest extent permitted by law, CURBZ's total liability to you under this Agreement is limited to the Delivery Fees you paid CURBZ in the three (3) months preceding the claim.
11. Term & termination
This Agreement begins on the date your merchant account is approved and continues on a month-to-month basis until terminated. Either you or CURBZ may terminate this Agreement at any time, with or without cause, by giving notice to the other party. Sections 6 through 10 and any payment obligations that accrued before termination will survive termination.
12. Changes to this Agreement
CURBZ may update this Agreement from time to time. Continuing to submit delivery requests after an update is posted constitutes acceptance of the revised terms. Material changes will be communicated through the merchant dashboard or by email where practical.
13. Dispute resolution
Any dispute arising out of or relating to this Agreement or your use of the CURBZ platform will first be addressed through good-faith negotiation between you and CURBZ. If a dispute cannot be resolved informally, it will be resolved under the dispute-resolution provisions of our general Terms of Service.
14. General
- Entire agreement. This Agreement, together with the Terms of Service and Privacy Policy, is the entire agreement between you and CURBZ regarding your use of the platform as a merchant, and supersedes any prior discussions or agreements on the subject.
- Assignment. You may not assign this Agreement without CURBZ's prior written consent. CURBZ may assign this Agreement without your consent.
- Severability. If any part of this Agreement is found unenforceable, the remaining provisions remain in full effect.
- No waiver. CURBZ's failure to enforce any part of this Agreement is not a waiver of its right to do so later.
- Headings. Section headings are for convenience only and do not affect interpretation of this Agreement.
